Our Retailer, Minimum Advertised Price, and Sales Channel Policy

Policy Statement

Dux Somnium, LLC (“Dux Somnium”) unilaterally establishes this Minimum Advertised Price Policy (“MAP Policy”) and applies it to all authorized Dux Somnium product resellers, whether purchasing directly from Dux Somnium or through distribution. This policy is not an agreement between Dux Somnium and any reseller. Each reseller decides independently whether to follow this policy.

Dux Somnium maintains this MAP Policy to preserve brand integrity, support our retail partners, and enable sustainable business practices across our distribution network.

Current MAP and MSRP Pricing

Current Minimum Advertised Price (“MAP”) and Manufacturer’s Suggested Retail Price (“MSRP”) for all Dux Somnium products are posted at https://duxsomnium.com/pages/wholesale-pricing-and-availability and may be updated by Dux Somnium at any time in its sole discretion.

MAP Requirements

Resellers must advertise all Dux Somnium products at or above the currently listed MAP prices.

Resellers may set actual resale prices at their discretion, provided they advertise prices that comply with this policy and do not display strike-throughs, reserved bids, or other alterations indicating prices below MAP.

Resellers cannot bundle Dux Somnium products at a combined price that offers any individual product below its MAP.

Sales Channel Restrictions

Authorized resellers may sell Dux Somnium products through their own direct-to-consumer websites and physical store locations. Resellers are prohibited from selling Dux Somnium products as third-party merchants on online marketplaces, however, including but not limited to:

• Amazon.com
• ebay.com
• Walmart.com
• Target.com
• Barnes & Noble (B&N.com)
• Any other similar third-party marketplace or platform 

Advertising Scope

This MAP Policy covers all advertising of Dux Somnium products, including:

• Print ads, flyers, catalogs, and promotional materials
• Websites, social media, email marketing, and mobile apps (including internet auctions and marketplace listings)
• Online marketplaces and third-party platforms
• Convention displays and public signage
• Any electronic media or digital communications

Resellers cannot use statements and features such as automated “bounce-back” pricing emails, pre-formatted email responses, forms, automatic price display for any items prior to being placed in a customer’s shopping cart and other similar features to circumvent this MAP Policy.

However, phrases such as “lowest prices,” “meet or beat,” “call for pricing,” or “click for pricing” are permitted only if no advertised or displayed price is below MAP.

These are all considered “advertising” under this MAP policy.

Enforcement

Violations: Dux Somnium monitors and enforces this MAP Policy and is solely responsible for determining whether a violation has occurred and the appropriate sanctions.

We may impose the following consequences for violations:

• Account suspension or termination
• Restriction of future orders
• Removal from promotional programs
• Lower allocation priority

Escalation Process: Dux Somnium has implemented an escalating process for dealing with violations of this MAP Policy and may, in its sole discretion, skip steps or combine sanctions without prior notice. These are:

• First violation: We require correction within 24 hours
• Second violation: We place account on 30-day hold
• Third violation: We terminate the reseller’s account

Multiple Locations

We consider violations at any location a reseller operates, or by any of its online storefronts or affiliated entities selling Dux Somnium products, as violations by that reseller entity.

Legal Notices

Unilateral Policy: Dux Somnium makes the independent business decision to implement this MAP Policy, will not discuss conditions of acceptance, and does not seek or accept agreement or assurance of compliance from any reseller.

No Price Control: This policy restricts only advertised prices, not actual selling prices. Each reseller maintains full pricing independence.

Right to Discontinue: Dux Somnium reserves the right, in its sole discretion, to cancel pending orders, restrict future orders, suspend or terminate accounts, or discontinue business relationships with resellers who advertise products below MAP or whom Dux Somnium reasonably believes intend to do so.

No Notice Required: Dux Somnium will enforce this policy at our sole discretion without prior notice; however, we may make commercially reasonable efforts to contact and inform retailers who are not following this policy and allow an opportunity to correct.
